Company: Prime Performance Peptides (“Company,” “We,” “Us,” or “Our”)
Affiliate: The individual or organization applying to join the Prime Performance Peptides Affiliate Program (“Affiliate,” “You,” or “Your”)
By enrolling in and participating in the Prime Performance Peptides Affiliate Program (“Program”), you agree to the following terms:
Independent Contractor Status
- Affiliates act solely as independent contractors and are not employees, agents, partners, or joint ventures of Prime Performance Peptides.
- Affiliates have no authority to make commitments or enter into agreements on behalf of the Company.
- Nothing in this Agreement creates an employer-employee or agency relationship.
Enrollment & Approval
- Participation requires the submission of a complete and accurate Affiliate application.
- The Company may approve or deny any application at its sole discretion.
- Additional information, such as proof of identity, location, or relevant social media accounts, may be requested before approval is granted.
Affiliate Obligations
Compliance
Affiliates must adhere to all relevant laws, regulations, and advertising standards, including FTC endorsement guidelines.
Prohibited Activities
Affiliates are strictly prohibited from:
- Making unauthorized medical, therapeutic, or performance-related claims about Company products.
- Using misleading, false, or deceptive marketing practices.
- Promoting Company products via spam, unsolicited messages, hate speech, or illegal activity.
- Bidding on Company brand names, trademarks, or related terms in paid search campaigns.
- Posting unauthorized coupon codes, discounts, or promotions.
Use of Marketing Materials
- Affiliates may only use Company-approved promotional content, images, and trademarks provided by Prime Performance Peptides.
Commissions
- Commission rates, structures, and eligibility requirements are determined solely by the Company and may change with notice.
- Commissions are earned only on qualifying purchases properly tracked through Company systems using approved affiliate links or codes.
- The Company reserves the right to withhold or revoke commissions for fraudulent, unauthorized, or non-compliant transactions.
Coupon Codes
- All coupon codes are issued and managed by the Company.
- Affiliates may not generate or share unauthorized discount codes.
- Misuse of coupons may result in commission forfeiture and termination from the Program.
Intellectual Property
- All Company intellectual property, including but not limited to logos, trademarks, images, and marketing materials, remains the exclusive property of Prime Performance Peptides.
- Affiliates are granted a limited, non-exclusive, non-transferable license to use these materials strictly for Program participation.
Termination
- The Company may suspend or terminate an Affiliate’s participation at any time, with or without cause.
- Upon termination, the Affiliate must immediately stop using Company intellectual property and marketing materials.
- Pending or disqualified commissions may be forfeited.
Indemnification
Affiliates agree to indemnify, defend, and hold harmless Prime Performance Peptides and its representatives against any claims, liabilities, losses, damages, or expenses (including legal fees) resulting from:
- Affiliate’s participation in the Program,
- Affiliate’s marketing actions, or
- Affiliate’s breach of this Agreement or applicable law.
Limitation of Liability
- The Company is not liable for indirect, incidental, or consequential damages arising from Program participation.
- The maximum liability of the Company to the Affiliate is limited to commissions paid within the three (3) months prior to the claim.
Governing Law & Dispute Resolution
- This Agreement will be governed by the laws of the State of Indiana.
- Any disputes will be resolved exclusively in the courts of San Bernardino County, CA, unless otherwise required by law.
Modifications
- The Company reserves the right to update or amend this Agreement at any time.
- Affiliates will be notified of material changes, and continued participation constitutes acceptance of the revised terms.
Entire Agreement
This document represents the entire agreement between the Affiliate and Prime Performance Peptides, superseding all prior agreements or communications.
